Export Trade Governance Agreement
1 Corporate Identity & Binding Agreement
These Terms and Conditions govern all commercial quotations, proforma invoices, sales contracts, and global export shipments issued by AGROLINK EXPORTS PVT. LTD. (CIN: U46209ME2026PTC474899), headquartered in Nagpur, Maharashtra, India.
By placing an order, issuing a Purchase Order (PO), or opening a Letter of Credit (L/C) with AGROLINK EXPORTS PVT. LTD., the overseas buyer explicitly agrees to be bound by these international trade regulations.
2 Contractual Shipping Incoterms (Incoterms® 2020)
Unless specified otherwise in writing in the official Proforma Invoice or Sales Contract, all trade terms adhere strictly to ICC Incoterms 2020 definitions:
- FOB (Free on Board): Risk passes to the buyer once goods are loaded onto the vessel at Indian discharge ports (e.g., JNPT / Nhava Sheva, Mundra, or Vizag). Freight and destination charges are borne by the buyer.
- CFR (Cost and Freight): AGROLINK EXPORTS pays ocean freight to the destination port. Marine insurance remains the buyer's responsibility.
- CIF (Cost, Insurance & Freight): AGROLINK EXPORTS covers ocean freight and marine insurance (ICC Clause A/Institute Cargo Clauses) up to the designated international port of discharge.
3 Quality Standards, Sortex Purity & Inspection
All agricultural commodities (Toor Dal, Chana Dal, Urad Dal, Moong Dal, Kabuli Chickpeas, Rajma, Lentils) are processed in our optical sorting facility:
Pre-Shipment Quality Testing
Every batch undergoes rigorous moisture, purity, foreign matter, and count-per-ounce laboratory analysis before container sealing.
Third-Party Inspection
Buyers may request independent inspection by SGS, Intertek, or Cotecna at the port of loading at buyer's cost or as mutually agreed.
4 Payment Terms & Letters of Credit (L/C)
To ensure financial compliance and secure global trade execution, AGROLINK EXPORTS accepts the following international payment instruments:
- Irrevocable Confirmed L/C at Sight: Issued or confirmed by a prime top-50 international bank, payable 100% against presentation of shipping documents.
- Telegraphic Transfer (T/T): Advance deposit (typically 20% to 30%) with the balance payable against scanned copy of original Bill of Lading (B/L).

AGROLINK EXPORTS guarantees full documentation compliance for seamless customs clearance at destination ports:
6 Custom Private Labeling & OEM Packaging
Where AGROLINK EXPORTS produces custom OEM packaging (e.g., PP Woven bags, Non-Woven bags, Vacuum Pouch, Master Cartons) with buyer's artwork/brand logos, the buyer warrants that they own all necessary trademark rights. Artwork approval must be finalized in writing prior to printing.
7 Force Majeure & Liability Limits
Neither party shall be liable for delays or failure in performance resulting from acts of God, extreme weather, embargoes, port strikes, government export quota restrictions, war, or disruption of maritime shipping lines beyond reasonable control.
8 Jurisdiction & Dispute Resolution
Any disputes or claims arising under or in connection with export contracts shall be resolved amicably through mutual trade negotiation. In case of unresolved disputes, the matter shall be referred to arbitration in accordance with the Indian Arbitration and Conciliation Act, under the exclusive jurisdiction of the Courts of Nagpur, Maharashtra, India.
